1. Services

RMB Digital provides Meta advertising management, creative production, custom landing pages, AI phone receptionist setup, performance reporting, ad iteration, and marketing consulting under the Booked Solid System. The specific services included in your engagement are defined in your signed service agreement.

2. Client Responsibilities

The following conditions are required for the engagement to proceed as agreed:

A minimum ad spend budget of $1,000 per month, separate from the retainer fee, must be maintained throughout the engagement.

Creative assets submitted for approval must be approved or returned with feedback within 48 hours. Delays beyond this window may affect campaign timelines.

Leads generated through campaigns must be followed up promptly. Lead response times beyond 24 hours are outside RMB Digital's control and are not grounds for guarantee claims.

3. Performance Guarantee

RMB Digital offers a conditional performance guarantee tied to a specific number of booked appointments per month. This target is agreed upon during the discovery call based on ad spend, niche, and service area.

The 30-day performance clock begins on the date of campaign launch, not the date of contract signing.

If the agreed appointment target is not met within 30 days, RMB Digital will continue delivering services at no additional charge until the target is reached.

The guarantee is void if the client fails to meet the responsibilities in Section 2, pauses or reduces ad spend below the minimum, or materially changes the offer or target audience mid-campaign without written agreement.

The guarantee applies to booked appointments only. It does not guarantee revenue, closed deals, or a specific return on ad spend.

4. Payment Terms

Retainer fees are billed monthly in advance and are due on the first business day of each billing cycle. Services may be paused if payment is outstanding beyond 7 days. RMB Digital reserves the right to terminate the engagement if payment remains outstanding beyond 14 days.

5. Intellectual Property

Creative assets produced by RMB Digital remain the property of RMB Digital until the retainer for that month is paid in full, at which point the client holds a license to use those assets. Ad account structures built inside a client's own Business Manager are the client's property. Proprietary systems, templates, and frameworks remain the property of RMB Digital.

6. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This includes ad performance data, business strategy discussions, and RMB Digital's internal processes and pricing.

7. Limitation of Liability

RMB Digital is not liable for losses arising from Meta platform policy changes, ad account restrictions, market conditions, or factors outside our direct control. Our total liability in any claim related to the engagement is capped at the value of one month's retainer fee. The performance guarantee defined in Section 3 is the sole remedy for underperformance.

8. Termination

Either party may terminate the engagement with 30 days written notice. Upon termination, RMB Digital will provide a handoff of all client-owned assets including ad account access, creative files, and landing page files. No refunds are issued for the current billing period. The guarantee does not apply during a notice period.

9. Governing Law

These terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada. Any disputes will be resolved in the courts of Alberta.
